Service

opheli.ai is an AI Execution OS

opheli.ai helps users create Missions, Tasks, Runs, Artifacts, Context, Blueprints, Mission Replay, Mission Physics signals, and Operator workflows.

The service may use third-party AI Providers selected or configured by the user. Final legal review is required before these Terms are used as a public-launch contract.

Accounts

You are responsible for account security and activity

You are responsible for maintaining control of your account, protecting credentials, using available security features, and reviewing activity performed through your account.

If 2FA is available, it is strongly recommended. Administrative or high-impact access may require additional security controls.

BYOK

Provider usage is separate from opheli.ai platform access

When you connect your own Provider key, Provider usage may be billed separately by that Provider under your Provider relationship.

Unless managed credits are explicitly offered, an opheli.ai subscription covers platform access, product limits, orchestration, review surfaces, and related features. It does not include external Provider API charges.

Provider usage and cost values shown inside opheli.ai are estimates unless explicitly marked Verified by Provider. Final charges, credits, discounts, taxes, invoices, and free-tier limits are determined by the connected Provider.

To the maximum extent permitted by applicable law and subject to final counsel review, opheli.ai is not responsible for external Provider fees, outages, rate limits, or policy decisions outside opheli.ai control except where caused by proven platform fault.

AI outputs

AI-generated outputs require human review

AI-generated output may be incomplete, inaccurate, outdated, biased, unsafe, or unsuitable for your use case. You remain responsible for reviewing facts, claims, citations, assumptions, and conclusions before relying on output.

Artifacts, Mission Replay, Mission Physics, Quality Gates, Risk Contracts, and review features are support tools. They are not guarantees, certifications, legal opinions, professional advice, or proof that every claim is correct.

opheli.ai does not provide legal, medical, financial, tax, compliance, employment, safety, or other professional advice. Consult qualified professionals before relying on AI outputs for high-stakes decisions.

Uploads

You must have rights to upload and use Source Material

You are responsible for ensuring that you have the rights, permissions, and lawful basis needed to upload, store, process, and use any Source Material or Context.

Do not upload illegal, infringing, confidential third-party, personal, sensitive, regulated, or restricted material unless you have authorization and an appropriate legal basis.

Attached Context may be included in prompts or requests sent to your selected AI Provider during Runs when required to perform the requested work.

Acceptable use

You must not misuse the service

  • Illegal activity, infringement, malware, phishing, credential theft, spam, harassment, abuse, privacy violations, or prohibited surveillance.
  • Attempts to bypass security, rate limits, plan limits, budget guards, authorization, provider restrictions, or run state controls.
  • Attempts to extract secrets, provider keys, credentials, hidden prompts, system instructions, or private user data.
  • Scraping, overload, attack traffic, abusive automation, or activity that disrupts the service.
  • High-risk regulated decisions without appropriate human review, lawful basis, and compliance controls.

Beta

Private beta features may change

During private beta, the service may change, features may be incomplete, availability may vary, and data backup practices should be confirmed before relying on the product for critical workflows.

Feedback may be used to improve opheli.ai subject to the Privacy Policy. Private customer content is not assumed to be available for public model training or shared Blueprints without explicit opt-in.

Legal review required

Liability and indemnity language needs counsel review

To the maximum extent permitted by applicable law and subject to final counsel review, opheli.ai should not be liable for indirect, consequential, special, incidental, punitive, business-loss, lost-profit, lost-data, Provider-fee, or AI-output reliance damages where such liability can lawfully be limited.

This draft is not a final liability clause. It must be adapted to the chosen legal entity, jurisdiction, customer type, and applicable mandatory law.

Users may be responsible for claims arising from uploaded content, unlawful use, breach of these Terms, infringement, privacy violations, or misuse of the service. Final indemnity wording requires counsel review.

Suspension

Access may be restricted for risk, abuse, or nonpayment

opheli.ai may suspend or restrict access for security risk, abuse, nonpayment, illegal use, policy violations, or activity that threatens users, Providers, infrastructure, or the service.

Trust & Integrity controls, Shield Mode, Maintenance Lock, provider freeze controls, execution pause controls, or similar safety mechanisms may restrict access when needed.

Counsel review

Governing law and jurisdiction must be finalized

Final governing law, jurisdiction, contracting party, notices, dispute process, tax terms, and consumer/business user distinctions must be completed by qualified counsel before public launch.
